Morvo partner terms

What an agency accepts when it joins the Morvo partner programme.

1. Who these terms are for

These terms apply to agencies, consultants and freelancers (the partner) who refer online stores to Morvo Ltd, company number 16457191, of Jactin House, 24 Hood Street, Manchester M4 6WX (Morvo). By applying to the programme you accept them. A partner is an independent business, not Morvo's agent or employee, and may not sign anything on Morvo's behalf.

2. What counts as a referral

A store is your referral in either of these cases:

  • it signs up to Morvo through your referral link, or
  • you register it in your partner portal first, and it signs up to Morvo within 90 days.

A store that was already a Morvo customer, or already in conversation with Morvo, before you registered it is not your referral. Where two partners claim the same store, the first registration wins. Morvo decides in good faith, tells you the outcome in your portal, and may decline to accept any store as a customer.

3. Commission

Morvo pays you 30% of the subscription and usage fees it actually collects from each referred store, net of taxes, refunds and chargebacks. Your portal shows the rate and term that apply to you; Morvo may agree different terms with a partner in writing.

Commission is paid for the store's first 12 months as a paying Morvo customer, and only while it is one. If the store leaves Morvo inside those 12 months, the payments stop with its last paid month. A store that pays for three months earns you three months of commission. A store that leaves and later comes back continues its original 12 months; it does not start a new one.

Free trials earn nothing. Commission starts with the first month Morvo is paid. If a fee is refunded after commission on it has been paid to you, Morvo deducts that commission from your next payment.

4. Payment

Morvo pays quarterly. Commission earned up to the end of March, June, September and December becomes due on the first day of the following month and is paid by the 15th of that month, by bank transfer or PayPal to the details in your portal, in the currency you chose there (GBP or USD). Balances under £50 or $60 roll over to the next quarter. Each payment comes with a self-billing statement in your portal; you do not need to invoice Morvo.

You are responsible for any tax on what you receive and for telling Morvo if you are VAT registered. Morvo may hold a payment while a referral is in dispute, and pays it when the dispute is settled.

5. What you may and may not do

You may describe Morvo accurately to brands and use the materials Morvo gives you. You may not:

  • make promises about Morvo's results, pricing or roadmap that Morvo has not published;
  • bid on Morvo's name or brand in paid search, or register domains or social accounts using it;
  • send unsolicited bulk email or messages about Morvo;
  • refer a store you own or control, or a store owned by a member of your team;
  • offer a brand part of your commission as a discount, unless Morvo agrees in writing;
  • present yourself as Morvo, or as able to change Morvo's prices or terms.

6. Data

When you register a store you may give Morvo a contact's name and email. Only do so where you are allowed to share them. Morvo uses them to match the store when it signs up and for nothing else, and deletes them 90 days after registration if the store has not signed up. Morvo's privacy policy covers everything else. Your portal shows a referred store's name and its status with Morvo, never its sales or its customers' data.

7. Ending the partnership

Either side may end the partnership at any time by email. Commission already earned on stores referred before that date is still paid for the rest of their 12-month term, on the same conditions. Morvo may pause or end a partnership immediately, and withhold unpaid commission, where these terms have been broken.

8. Changes and law

Morvo may change these terms with 30 days' notice by email. A change does not reduce the commission on stores you referred before it. These terms are governed by the law of England and Wales. Questions go to support@morvo.co.uk.
